By Laws of the Tumwater High School Alumni Association

Article I. The name of this organization is the Tumwater High School Alumni Association, herein referred to as the Association.
Article II. The purpose of this organization shall be as follows:
- A. To operate a non-profit organization dedicated to promoting alumni related events.
- B. To provide the members of the Association the opportunity to contribute to the welfare of Tumwater High School and the Association.
- C. To participate in fund raising activities.
- D. To maintain records concerning alumni of Tumwater High School.
- E. To disseminate information about Tumwater High School to alumni.
- F. To encourage collection and preservation of relevant historical information regarding Tumwater High School.
- G. To keep members informed of Association activities.
Article III. Membership:
Section 1. Eligibility: All past students, faculty, administrative staff, and support staff of Tumwater High School.
Section 2. Types of Membership:
- A. $0, General Membership of Alumni within 5 years after class graduation and registration
- B. $25, General Membership
- C. $100, Century Membership
- D. $250, THS Patron Membership
- E. $500, Thunderbird Membership
- F. $1000, Dr. Joseph L. Kearney Lifetime Membership
Section 3. Rights and Privileges of Members:
- A. To hold office in the Association.
- B. To be eligible to receive publications of the Association.
- C. To participate in Association activities.
Section 4. Dues:
- A. The Board of Directors shall establish the amount and schedule of membership dues, a policy regarding the manner and time of payment of dues, and a policy for failure to pay dues.
- B. All members (except Life memberships) must be current with dues to be in good standing to be eligible for the Rights and Privileges.
Article IV. Board of Directors:
Section 1. An Executive Board of eleven members shall manage the business of the Association.
Section 2. The term of office shall redetermined by the Vice-President but should not be more than three years. Members may continue their position or another position on the board after three years if so desired.
Section 3. The Executive Board shall consist of a President, Vice
President, Secretary, Treasurer, a Membership Chairperson, an Activities Chairperson, a Communications Chairperson, a Scholarship Chairman, a Website Coordinator, a Golf Coordinator, and Historian.
Section 4. Each member of the Board shall possess one vote each in matters
coming before the Board.
Section 5. Six members of the Board shall constitute a quorum.
Section 6. The newly elected Board members shall meet with the current
Executive Board to organize the Executive Board for the ensuing
year.
Section 7. A Board member may be removed by majority vote of the Executive
Board in the event of a non-participation or impropriety, with or without cause.
Section 8. Should a vacancy occur to the Executive Board, the Board may
appoint a member to fulfill the vacancy at any regular or special meeting, even though less than a quorum is present to fulfill the remaining term of the vacant position.
Section 9. The Board may appoint a pro tempore officer from the current Board to
cover the responsibilities of another board member in the event of an
emergency or leave of absence.
Section 10. The board shall have the authority to create standing, ad hoc, or special committees as needed.
Article V. Meetings:
Section 1. The Board of Directors shall meet on a date mutually
agreed upon by the members of the Board.
Section 2. Special meetings:
Special board meetings shall be called at any time by the
President or by at least 3 or more board members.
Special committee meetings shall be called at any time by the Committee Chairperson.
Section 3. The annual meeting shall be held prior to the regular
meeting.
Section 4. The agenda of the annual meeting shall include the
secretaryʼs report of the previous annual meeting, the
annual treasurerʼs report, election of new Board
officers, vote on any By-Law changes, and new
business.
Section 5. Notification of the annual business meeting shall be
announced in each Newsletter and on the
Tumwater High School Alumni Association website no
later than two weeks prior to the annual meeting.
Section 6. Board meetings are open to the general membership.
Article VI. Election Procedure:
Section 1. The Vice President shall head the nominating
committee.
Section 2. The nominating committee shall present nominees for
vacancies to the Board.
Section 3. The Board vacancy shall be filled via vote of general members at the annual meeting.
Section 4. Newly elected Board members shall assume their new
positions at the next regular Board meeting following
their selection.
Article VII. Duties of Officers:
Section 1. President:
- A. The President shall oversee the Association and all meetings.
- B. The President shall appoint another Board member to serve as Parliamentarian.
- C. The President shall appoint committees as needed.
- D. The President shall be an ex officio member of all Association committees.
Section 2. Vice President:
- The Vice President shall assist the President as assigned.
- The Vice President shall assume the duties of the President in the absence of the President.
- The Vice President shall be responsible for recommending, nominations for election to the Board
Section 3. Recording Secretary:
- A. The Recording Secretary shall keep a record of proceedings of general and board meetings and prepare reports for each meeting.
- B. The Recording Secretary shall keep all minutes for membership.
Section 4. Treasurer:
- A. The Treasurer shall keep all financial records of the Association.
- B. The Treasurer shall prepare a current financial report for each Board meeting.
- C. The Treasurer shall oversee all accounting procedures in the Association account.
- D. The Treasurer shall prepare an annual report for the Board and the membership.
Section 5. Membership Chairperson:
- A. The Membership Chairperson shall maintain a current list of members and their membership status.
- B. The Membership Chairperson shall oversee a data bank of Tumwater High School alumni.
Section 6. Activities Chairperson:
- A. The Activities Chairperson shall oversee the scheduling of Association sponsored events and coordinate with the Event Director. The Event Director may be the Activities Director or a designee of the Activities Director.
- B. The Activities Chairperson shall serve as liaison with THS Administration for Association sponsored events that interface with THS.
Section 7. Communications Chairperson:
- A. The Communications Chairperson shall oversee the development and maintenance of THSAA website.
- B. The Communications Chairperson shall oversee the development and implementation of a newsletter.
- C. The Communications Chairperson shall serve as liaison with THS Administration and Activities and facilitate the flow of information between THS and THSAA.
- D. The Communications Chairperson shall handle press releases of major THSAA events with local newspapers, radio stations, and other media.
Section 8: Scholarship Chairman
- A. The Scholarship Chairman shall be responsible for overseeing all aspects of the scholarships awarded by THSAA including creating an application with qualifications, forming a committee, etc.
- B. The Scholarship Chairman shall be responsible for getting the applications to the career center and putting a form on the THSAA website.
Section 9: Website Chairman
The Website Chairman shall be responsible for maintaining and updating the THSAA website.
Section 10: Golf Coordinator
- A. The Golf Coordinator shall organize the annual THSAA golf tournament.
- B. The Golf Coordinator shall arrange and manage all aspects relative to the golf tournament.
Section 11: Historian
- A. The Historian shall collect and preserve relevant historical documents, memorabilia, and information regarding Tumwater High School, and THSAA.
- B. The Historian may be called upon to display historical documents and memorabilia at THSAA and high school functions.
Article VIII. Procedures:
- Section 1. The Board shall make any interpretation of these By Laws.
- Section 2. Roberts Rule Of Order shall govern all parliamentary procedures.
Article IX. Un-authorizations: No part of the net earnings of the Tumwater High School Alumni Association shall inure to the benefit of, or be distributable to its members, trustees, officers, or private persons, except that the organization shall be empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in the purpose clause hereof. No substantial part of the activities of the Tumwater High School Alumni Association shall be the carrying on of propaganda, otherwise attempting to influence legislation, and the publishing or distribution of statement or any political campaign on behalf of any candidate for public office. Notwithstanding any other provision of this document, the organization shall not carry on any activities nor be permitted to be carried on by an organization exempt from federal income tax under section 501(C)(3) of the Internal Revenue Code, or corresponding section of any future tax code, or by an organization, contributions to which are deductible under section 170(C)(2) of the Internal Revenue Code, or corresponding section of any future federal tax code.
Article X. Dissolution: Upon dissolution of the Association, assets shall be distributed for one or more exempt purposes within the meaning of section 501(C)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or shall be distributed to the federal government, for such public purpose. Any such assets not disposed of shall be disposed of by the Court of Common Pleas of Thurston County, exclusively for such purposes or to such organization or organizations, as said Court shall determine, which are organized and operated exclusively for such purposes.
Article XI. Amendments:
Section 1. These By Laws may be amended, altered, or repealed by the
approval of four members of the current Board of Directors.
Approval must be made by sixty per cent (60%) of those general members
present at a duly called meeting.
Section 2. A duly called meeting shall be made at a minimum of fourteen (14)
days notice.
Section 3. The Board shall review the By Laws annually.
